Terms of Service

Kriterion IQ is a research and analytical tool. It monitors public market data, computes historical statistics, runs pattern analysis against historical analogs, and generates plain-English narratives to help you understand what the data is showing.

Kriterion IQ is NOT:

• a broker, dealer, or execution venue;
• a registered investment adviser (RIA) or financial adviser;
• a trading signal service;
• a source of personalised investment recommendations;
• a guarantor of any market outcome.

We are not registered with the U.S. Securities and Exchange Commission (SEC), the Financial Industry Regulatory Authority (FINRA), the UK Financial Conduct Authority (FCA), or any other securities regulator. Nothing on the Service constitutes a solicitation to buy or sell any security.

All content, analysis, alerts, narratives, and outputs produced by the Service are provided for informational and educational purposes only. Nothing on the Service constitutes investment advice, tax advice, legal advice, or a recommendation to purchase or sell any security, derivative, or other financial instrument.

Past performance is not indicative of future results. Historical pattern matches, backtested analogs, probability distributions, and expected-range computations are inherently backward-looking. Markets can and do behave in ways that historical data does not anticipate. You are solely responsible for any decisions you make using the Service.

You must be at least 18 years of age (or the legal age of majority in your jurisdiction, whichever is higher) to use the Service. By using the Service, you represent and warrant that you meet this requirement and that you have the legal capacity to enter into binding agreements.

The Service is provided from India / United States and may not be available or lawful in every jurisdiction. You are responsible for determining whether your use complies with the laws applicable to you.

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us immediately if you suspect unauthorised access. We may suspend or terminate accounts that violate these Terms or that we reasonably believe pose a security or legal risk.

Paid plans are billed on a subscription basis (monthly or annual) through our billing provider. By subscribing, you authorise recurring charges until you cancel.

3-Day Refund Window. If you are unsatisfied with your paid subscription for any reason, you may request a full refund within three (3) days of your initial payment. Refunds are issued to the original payment method within 5–10 business days of approval.

Cancellation. You may cancel at any time from your account settings. Cancellation stops future renewals; your access continues through the end of the billing period you have already paid for. We do not pro-rate partial-period refunds after the 3-day window, except where required by law.

Prices are shown in U.S. Dollars unless otherwise stated. We may adjust pricing with at least 30 days' advance notice; changes apply to renewals following the notice period.

You agree not to:

• reverse-engineer, decompile, or attempt to extract the Service's source code or models;
• scrape, crawl, or systematically download outputs beyond normal in-app usage;
• resell, sublicense, or expose the Service or its outputs to third parties as a service;
• use the Service to build a competing product;
• use the Service in a way that could harm, disable, or impair its operation;
• use the Service to violate any applicable law, including securities, anti-money-laundering, sanctions, or market-manipulation laws.

The Service, including its software, models, indicators, narratives, visual design, and content, is owned by Invokode and its licensors and is protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your own personal or internal business research, subject to these Terms.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, NON-INFRINGEMENT, OR UNINTERRUPTED OPERATION.

Market data, event calendars, and third-party inputs may contain errors, omissions, or delays. We make no representation that any historical pattern will repeat, that any probability estimate will be realised, or that any backtest reflects results attainable in live markets.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, INVOKODE, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR USE OF OR INABILITY TO USE THE SERVICE; (B) ANY TRADING OR INVESTMENT DECISIONS YOU MAKE BASED ON OUTPUTS OF THE SERVICE; (C) UNAUTHORIZED ACCESS TO YOUR DATA; OR (D) ANY OTHER MATTER RELATING TO THE SERVICE.

IN NO EVENT WILL OUR AGGREGATE LIABILITY EXCEED THE GREATER OF (I) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR (II) ONE HUNDRED U.S. DOLLARS (USD $100).

You agree to indemnify and hold harmless Invokode and its personnel from any claim, demand, loss, or expense (including reasonable legal fees) arising out of (a) your use of the Service in violation of these Terms; (b) your violation of any law or the rights of any third party; or (c) any trading or investment activity you undertake.

You may stop using the Service and cancel your subscription at any time. We may suspend or terminate your access at our discretion, including for violations of these Terms, non-payment, or where required by law. On termination, sections that by their nature should survive (Disclaimers, Limitation of Liability, Indemnity, Governing Law) will continue to apply.

We may update these Terms from time to time. If we make material changes, we will notify you by email or through the Service at least 14 days before the changes take effect. Continued use after the effective date constitutes acceptance of the updated Terms.

These Terms are governed by the laws of the jurisdiction in which Invokode is established, without regard to conflict-of-laws principles. Disputes will be resolved in the courts of that jurisdiction, except where mandatory local consumer-protection law provides otherwise.
